DYNAMIC WEB SOLUTIONS AND 28 MEDIA ‘RICHMOND’S UGLIEST WEBSITE’ PROMOTION PARTICIPATION TERMS AND CONDITIONS.
Introduction:
These terms and conditions describe the Dynamic Web Solutions and 28 Media ‘Richmond’s Ugliest Website promotion and its general policies. Dynamic Web Solutions [[LLC?]] and 28 Media LLC (Dynamic Web Solutions and 28 Media) are responsible for the administration of this ‘Richmond’s Ugliest Website promotion and offer. The owners of trademarked names and merchandise used in our promotions are not otherwise affiliated with Dynamic Web Solutions and 28 Media in any way. All trademarks are the property of their respective owners, with all rights reserved.
Requirements for Participation:
To participate in the ‘Richmond’s Ugliest Website’ promotion, you must be at least 18 years old and a legal resident of the United States, and the owner of a small business based in the Richmond, Virginia metro area (City of Richmond and the counties of Henrico, Chesterfield, and Hanover), with a valid email and physical address (P.O. Boxes are not acceptable). This offer is not valid where prohibited by law.
Participants must have been in business for at least two (2) years, and must have at least two (2) employees. Participants’ existing website must be at least two (2) years old. To be eligible for the ‘Richmond’s Ugliest Website’ Promotion you must complete all of the steps outlined herein.
Participants must: (a) complete the account registration page at https://www.RichmondsUgliestWebsite.com/ with valid and required information; (b) submit accurate contact and demographic information including email address, mailing address, and physical location of primary office; (c) agree to the terms and conditions in order to qualify for selection; (d) agree to be contacted by Dynamic Web Solutions and/or 28 Media during the promotion and for a term of no less than one (1) year after the promotion ends.
How the Promotion Works:
The Promotion will be open for entries via https://www.RichmondsUgliestWebsite.com on 07/01/2011. All entries must be received by 11:59 pm EST on 08/01/2011. The contest winner will be announced on or about 08/20/2011. This contest is a business promotion, and a company’s entry into the contest equals consent for Dynamic Web Solutions, 28 Media, or any other party to advertise, announce, promote, solicit input and opinions, and otherwise publicly to discuss the participating company’s participation and its existing (ugly) web site. This consent includes promotion and commentary via advertisements, email campaigns, social media channels (i.e., Facebook, Twitter, Foursquare, etc.), or other media.
Promotional offer, winner’s reward:
The contest winner will be selected from among the contest entries, and the selection will be made in the sole discretion of Dynamic Web Solutions and 28 Media, regardless of the existence or volume of any input, voting, petitions, or the like.
The business selected as the winner of the Dynamic Web Solutions and 28 Media ‘Richmond’s Ugliest Website’ promotional offer will receive a new website, search engine optimization (SEO) services, and consulting services as listed below:
- Initial website planning/strategy session
- Custom website design
- Content consulting, with content to be provided by winning participant
- Programming of website, in WordPress site building and content management platform (up to 10 pages)
- SEO research and on-page implementation
- Email newsletter template design, setup and installation
- 3 months of off-page SEO (link building and reporting)
- Quarterly follow-up consulting call (not to exceed one hour)
- 12 months of free hosting (at winner’s option)
- 1 hour WordPress training session
Dynamic Web Solutions and 28 Media reserve the right to change these promotional gifts to comparable services at the sole discretion of Dynamic Web Solutions and 28 Media.
Additional Terms of the Dynamic Web Solutions and 28 Media ‘Richmond’s Ugliest Website’ Promotional offer:
The Dynamic Web Solutions and 28 Media ‘Richmond’s Ugliest Website’ promotion is only available to valid subscribers meeting the terms and conditions of this promotion. Dynamic Web Solutions and 28 Media are not eligible for this promotion. If a service is declined by the contest winner, no financial credit for the service will be awarded. Dynamic Web Solutions and 28 Media reserve the right to require individuals to provide documentation demonstrating they have completed the subscription requirements prior to selection of the five (5) contest finalists, and/or prior to promotional gift redemption. Dynamic Web Solutions and 28 Media will send notification to the five (5) contest finalists at the email and mailing address used during registration. Delivery confirmation and consent to proceed in the contest will be required in order to establish status as a contest finalist. One winner will be announced from the five (5) finalists by Dynamic Web Solutions and 28 Media on or about 08/20/2011. A notification of winning entry will be delivered to the winning company. The signature of the owner of the winning company will be deemed to be proof of delivery and acceptance of the contest reward, according to these terms.
Security:
The Dynamic Web Solutions and 28 Media Web Site has security measures in place intended to protect the loss, misuse and alteration of the information under our control. Our hardware infrastructure is housed in a controlled access facility that limits access to authorized individuals with positive identification. Our network access to the infrastructure is protected by a firewall protection system. However, we cannot guarantee that communications between you and Dynamic Web Solutions and 28 Media will not be intercepted by others, or that information stored on our servers will be free from unauthorized access. While we have taken reasonable precautions to protect this information, you should always use discretion regarding the information that you send to us. Do not expect that such information will be absolutely free from intrusion.

Tax Liability:
You are responsible for all local, state, and federal taxes on any promotional gifts you receive. Dynamic Web Solutions and 28 Media require that anyone receiving gifts valued at $600.00 and above in any calendar year complete and submit a W-9 form from the Internal Revenue Service in order to allow Dynamic Web Solutions and 28 Media to comply with IRS reporting requirements.
Choice of Laws/Venue:
You agree that this agreement shall be construed and governed in accordance with the laws of the Commonwealth of Virginia regardless of the conflict of laws provisions of the jurisdiction where you live or any other jurisdiction. You also agree that the proper venue for any dispute pertaining to this agreement shall be the State and Federal Courts located in the City of Richmond, Virginia.
Liability Release:
By participating in any Dynamic Web Solutions and 28 Media promotion, you release Dynamic Web Solutions and 28 Media and its respective parents, subsidiaries, and other affiliated companies, and the directors, shareholders, officers, employees, or agencies of any of the above organizations, for any and all liability for any injury, death, loss, tax liability or damage of any kind arising from participation in this program, or resulting from acceptance, possession, use or misuse of any promotional offer or gift. Failure to comply with these Terms and Conditions may result in disqualification from this program. Dynamic Web Solutions and 28 Media reserves the right, in its sole discretion, to: (i) disqualify from this or any promotion it sponsors now, or in the future, any person it finds, in its sole discretion, has intentionally violated these Terms and Conditions, tampered with the eligibility process, or any other aspect of the promotion; and (ii) cancel or suspend part or all of this program in the event that printing errors, tampering, fraud, unauthorized intervention or other causes beyond Dynamic Web Solutions and 28 Media’s control, corrupt or impair the administration, security or fairness of the program. Accordingly, you should review these terms and policy from time to time to check for updates. Your continued use of either the Dynamic Web Solutions website (DynamicWebSolutions.com), the 28 Media website (28Media.com) or RichmondsUgliestWebsite.com shall evidence your acceptance of any changes. If you do not accept any of the terms of this Policy, we ask that you not complete our registration process.
